Last updated: August 28, 2026

These Terms of Service govern your use of services provided by UpRoute (“UpRoute,” “we,” “us,” or “our”). By purchasing or using our services, you agree to these terms.

Services
UpRoute provides digital marketing and related services, which may include advertising management, website services, email marketing, search engine optimization, consulting, and other marketing services.
The specific services, pricing, and duration of an engagement may be outlined separately in a proposal, agreement, invoice, order, or other written communication.

Payment
You agree to pay all fees associated with the services you purchase. Unless otherwise stated, payments are non-refundable once services have been performed or costs have been incurred on your behalf.
Any recurring services, payment schedules, advertising budgets, or additional fees will be communicated and agreed upon as part of the applicable service arrangement.

Advertising & Marketing Results
Marketing results vary based on numerous factors, including market conditions, competition, budget, customer demand, websites, offers, and third-party platforms. UpRoute does not guarantee any specific number of leads, sales, customers, revenue, rankings, return on advertising spend, or other business results.

Third-Party Platforms
Our services may involve third-party platforms such as advertising networks, website providers, email platforms, analytics tools, and other software.
UpRoute is not responsible for outages, policy changes, account restrictions, suspensions, or other actions taken by third-party platforms that are outside of our reasonable control.

Client Responsibilities
You agree to provide accurate information and reasonable access to the accounts, websites, materials, and other resources necessary for us to perform the agreed-upon services.
You are responsible for the accuracy and legality of information, claims, products, and services provided by your business.

Intellectual Property
Each party retains ownership of materials, trademarks, content, and intellectual property it owned before the engagement.
Ownership and permitted use of work created specifically for a client may be further defined in the applicable proposal or service agreement.

Limitation of Liability
To the fullest extent permitted by applicable law, UpRoute will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from the use of our services.
UpRoute's total liability for any claim relating to our services will not exceed the amount paid to UpRoute for the services giving rise to the claim.

Termination
Either party may terminate services in accordance with the terms of the applicable service agreement or arrangement. Any outstanding amounts for services already performed or costs already incurred remain due.

Changes to These Terms
We may update these Terms of Service from time to time. The most current version will be posted on this page with the date of the latest revision.
